Terms of service

By using Typewire, a company incorporated and located in Canada providing users with digital communication and online services, you accept the terms and conditions set forth below (the 'terms of service'). By accepting these 'terms of service' you are entering into a legally binding agreement with Typewire and agree to be bound by the agreement. The 'terms of service' apply to any and all accounts you may establish under the agreement and requires that you have appropriate authority or that there is consent from the users of these accounts. These 'terms of service' apply to all present and future features provided by your accounts.
The agreement shall be governed by the laws of Canada. You agree that the Canadian courts shall have exclusive jurisdiction to resolve any and all disputes related to the agreement.
Please read these 'terms of service' carefully before using Typewire's services. By using Typewire's services you are agreeing to be bound by these 'terms of service'. You may not use Typewire's services if you do not agree to these 'terms of service'. These 'terms of service' apply every time you use Typewire's services.
Users of Typewire's services
Typewire's services are provided exclusively to individuals who are 18 years of age or older. Parental or legal guardian consent is required for individuals under the age of 18 years to use Typewire's services.
Typewire's services are provided exclusively to persons or legal entities. Typewire service accounts registered by 'bots' or any automated method are not authorized and will be terminated.
You declare all information you submit to Typewire during the account sign up process to be truthful and accurate.
You agree to be solely responsible for all actions performed through your Typewire service accounts.
You are entirely responsible for maintaining the confidentiality and security of your Typewire service accounts passwords.
Subscriber conduct
You agree to be solely responsible for any content created or transmitted from your Typewire service accounts. You acknowledge that Typewire acts as a passive conduit for the transmission of your data.
You agree not to use your Typewire service accounts for any illegal or prohibited activities. Unauthorized activities include but are not limited to:
- Disrupting Typewire's networks and servers in the use of your Typewire service accounts.
- Accessing, sharing, downloading or uploading illegal content including but not limited to child sexual abuse material or content related to child sexual abuse material.
- Promoting illegal activities of providing instructional information to other parties to commit illegal activities.
- Payment for Typewire's services using fraudulent payment means such as a stolen credit card.
- Engaging in spam activities which are defined as the practice of sending irrelevant or unsolicited messages or content over the internet.
- Any activity that spreads malware of viruses.
- Attempting to use Typewire's service to send junk and bulk emails, or mailing list emails to recipients who have not specifically agreed to be included on that list.
- Using Typewire's services to store or share content that violates the law or rights of any third party.
- Abusive registration of email addresses for third party services.
Any Typewire service account found to be committing any of the listed unauthorized activities will be immediately suspended, restricted or terminated accordingly.
Typewire may also terminate Typewire service accounts found to be committing illegal activities not listed above, particularly in response to orders from competent authorities informing of such illegal activities.
Limited warranties and liability
You agree to use Typewire's services at your own risk. Typewire shall use it's best efforts in order to ensure Typewire's service are responsive, reliable and functional. Typewire does not warrant that Typewire's services will be error free, available at any given time or otherwise fulfill any requirements or specifications. Typewire's services are provided 'as is' and 'as available' without warranty of any kind, either expressed or implied. Typewire shall not be responsible for the consequences of delayed or missing data, downtime, inaccessibility of Typewire's services, or loss or corruption of stored data. You agree further that no such event shall make you entitled to claim refund of any fee or terminate the agreement.
Typewire has no obligation to store, recover or forward the contents of any terminated Typewire service accounts. Typewire has no obligation to store messages or contents for Typewire service accounts that exceed their storage quotas. Furthermore, you will not hold Typewire liable or seek indemnification if confidential material is unintentionally released as the result of a security failure or vulnerability in the performance of Typewire's services or if data is deleted for an inactive Typewire service account.
To the extent not prohibited by law, you acknowledge and agree that in no event will Typewire be responsible or liable to you or any third party, under any theory of responsibility or liability, for any indirect, special, exemplary, incidental, consequential or punitive damages (including but not limited to, procurement of substitute goods or services, loss of data, use or profits, business interruptions, or any other damages or losses), for any multiplier on or increase to damages, or for any costs or fees (including attorney's fees), whether under these 'terms of service' or otherwise, arising in any way in conjunction with your Typewire service accounts, Typewire services or these 'terms of service', whether arising at law, in equity, or otherwise, and whether based in contract, strict liability, tort (including negligence or otherwise, common law, statute, equity, or otherwise, even if Typewire has been advised of the possibility of such damage, or for any other claim, demand, or damages whatsoever, arising out of or related to your use or inability to use your Typewire service accounts or Typewire's services.
Typewire's free account services carry absolutely no warranty. Free accounts may be terminated, deleted or modified at any time without notice to the account holder.
Indemnification
You agree that Typewire, and any parents, subsidiaries, officers, directors, employees, agents or third party contractors (the 'indemnified parties') cannot be held responsible for any third part claim, demand, or damages, including reasonable attorney's fees, arising from use of your Typewire service accounts or Typewire's services. You agree that the 'indemnified parties' will have no liability in connection with any such third party claim, demand or damages, and you agree to indemnify any and all resulting loss, damages, judgments, awards, costs, expenses, attorney's fees and litigation expenses of the 'indemnified parties' in connection therewith. You will also indemnify and hold the 'indemnified parties' harmless from and against any third party claims, demands or damages arising from use of your Typewire service accounts or Typewire's services.
Terms of payment
Payment for Typewire's services are billed monthly. After the initial payment made after the free trial or during sign up for Typewire's services the subscription is renewed automatically with payment scheduled for the same day of each month as the day of initial payment. If the initial payment occurs on the 29th, 30th or 31st day of the month the monthly payment day will be the 28th day of each month.
Payment for Typewire's services must be made using a valid credit card. Typewire accepts Visa or MasterCard.
The prices displayed on Typewire's webpages and apps are subject to change. If Typewire changes to price for subscribed services you will be charged the new price valid at the time of payment. Typewire will send email notification of price changes 30 days prior to any price change.
You may cancel your Typewire service at any time. Typewire account cancellations must be made at least 1 day prior to the Typewire account's billing day otherwise the cancellation will occur at the end of the next billing cycle. Cancellation requests can be removed any time prior to the next billing date at which time the cancellation will occur. Upon account cancellation all data associated with the cancelled Typewire service account will be permanently deleted.
If Typewire is unable to process payment on the billing day for your Typewire service account subscription your Typewire service account will be marked for cancellation. Cancellation including data deletion will occur on the next billing cycle payment date (approximately 30 days). Due to non payment your Typewire service account will be restricted to billing functions only. You must login and make a payment prior to the cancellation date to continue using your Typewire service account.
In the event Typewire is made aware of a chargeback or dispute through our payment processor Typewire reserves the right to immediately cancel your Typewire service account and delete all data associated with your Typewire service account.
Changes to terms of service
Typewire may at any time change the 'terms of service' and make these available through Typewire's web pages and apps. Individuals with active Typewire service account subscriptions will be made aware of 'terms of service' updates via email. Updated 'terms of service' become effective 30 days from the publication date at the top of the 'terms of service' document. By continuing to use your Typewire service accounts and Typewire's services from this date you accept and agree to the updated 'terms of service'.
Changes to service
Typewire may at any time augment or enhance Typewire's services with or without any prior notice.
